1. Acceptance of Terms

By accessing or using CertFence ("Service," "we," "us," or "our") at certfence.com, you ("User," "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

CertFence is a software tool that helps users organize and track license, permit, and certification expiry dates and optionally receive email reminders. The Service is provided as a convenience tool only. CertFence is not a legal, compliance, or regulatory advisory service.

3. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Service. By using the Service you represent that you meet these requirements.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized access to your account.

5. Subscription and Billing

CertFence is offered on a paid subscription basis following a free trial period. Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law.

We reserve the right to change pricing at any time. We will provide at least 30 days notice of price changes to existing subscribers. Continued use after a price change takes effect constitutes acceptance of the new pricing.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to any part of the Service
Interfere with or disrupt the integrity or performance of the Service
Reverse engineer, decompile, or disassemble any part of the Service
Resell or sublicense access to the Service without our written consent

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
ANY REMINDERS WILL BE DELIVERED ON TIME OR AT ALL
THE SERVICE WILL MEET YOUR SPECIFIC COMPLIANCE OR REGULATORY REQUIREMENTS
ANY DATA STORED IN THE SERVICE WILL NOT BE LOST OR CORRUPTED

You are solely responsible for ensuring your licenses, permits, and certifications remain valid and current. CertFence is a reminder tool only and does not guarantee compliance with any law, regulation, or licensing requirement.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CERTFENCE, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL
FINES, PENALTIES, OR REGULATORY CONSEQUENCES ARISING FROM AN EXPIRED LICENSE OR CERTIFICATION
MISSED REMINDERS DUE TO EMAIL DELIVERY FAILURES, SPAM FILTERING, OR SERVICE DOWNTIME
DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO CERTFENCE IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless CertFence and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any data you submit to the Service.

10. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of CertFence. You retain ownership of all data you submit to the Service. By submitting data, you grant us a limited license to store and process that data solely to provide the Service to you.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. You may cancel your subscription at any time through the billing portal; cancellation takes effect at the end of the current billing period.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction, and you consent to personal jurisdiction in such courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by email or by posting a notice on the Service. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CertFence regarding the Service and supersede all prior agreements and understandings.
